1. Agreement to Terms

Welcome to SolidMagnetics, a service operated by Altabright Inc. (“Company,” “we,” “our,” or “us”).

By accessing or using our website at https://solidmagnetics.com/ and any related services, including design tools, downloadable content, or subscriptions (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, do not use the Service.

2. Description of Service

SolidMagnetics provides automated and assisted design tools for magnetic components, including but not limited to:

  • Inductors
  • Transformers (current and future features)
  • Magnetic assemblies and related systems

The Service may generate:

  • CAD models (e.g., SolidWorks files)
  • Engineering drawings
  • Bills of Materials (BOMs)
  • Design calculations and performance estimates

3. Engineering Disclaimer (VERY IMPORTANT)

All designs, calculations, models, and outputs provided by SolidMagnetics are:

  • Provided for informational and engineering assistance purposes only
  • Based on user-provided inputs and automated calculations
  • Not guaranteed to meet all real-world conditions

You acknowledge and agree that:

  • You are responsible for verifying all designs before manufacturing or use
  • You must perform independent engineering validation, testing, and safety review
  • Designs may not comply with all regulatory, safety, or industry standards (UL, IEC, etc.) unless explicitly stated

🚨 SolidMagnetics is NOT responsible for:

  • Product failures
  • Damage to equipment
  • Personal injury
  • Regulatory non-compliance
  • Manufacturing defects

Use of any design is entirely at your own risk.

4. No Professional Engineering Relationship

Use of this Service does not create:

  • A licensed engineering relationship
  • A consulting agreement
  • A certification or compliance guarantee

Unless explicitly agreed in writing, SolidMagnetics does not act as your professional engineer of record.

5. User Responsibilities

You agree to:

  • Provide accurate and complete input data
  • Use the Service only for lawful purposes
  • Evaluate all outputs before real-world use
  • Not rely solely on generated results for safety-critical systems

You must not:

  • Use the Service to design systems intended for life-critical or safety-critical applications without proper independent validation
  • Misrepresent generated designs as certified or approved
  • Reverse engineer, copy, or exploit the platform beyond intended use

6. Accounts & Access

Some features require an account or subscription.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account

We reserve the right to suspend or terminate accounts for misuse or violation of these Terms.

7. Pricing & Payments

We offer:

Single Design Purchase

  • One-time payment for a single design package

Subscription Plans

  • Monthly plans with usage limits or unlimited access (subject to fair use)

Payments are processed through third-party providers (e.g., Stripe).

Important Notes:

  • Prices are subject to change
  • Subscriptions renew automatically unless canceled
  • No refunds are guaranteed unless required by law

8. Fair Use Policy (For Subscription Plans)

Unlimited or high-volume plans are subject to fair use.

We reserve the right to:

  • Monitor usage patterns
  • Limit excessive or abusive usage
  • Suspend accounts that attempt to overload or exploit the system

9. Digital Deliverables & Access

After purchase or with an active subscription, users may access:

  • CAD files
  • Drawings
  • BOMs
  • Design packages

Access may be:

  • Time-limited
  • Account-based
  • Revoked if subscription lapses

We may store files using cloud services such as Amazon S3.

We are not responsible for:

  • Loss of downloaded files
  • User failure to download within the available timeframe

10. Intellectual Property

All software, algorithms, and platform functionality are the property of Altabright Inc.

You are granted:

  • A license to use generated design outputs for your own projects, products, and manufacturing

You may NOT:

  • Resell or redistribute the platform itself
  • Copy or replicate the service functionality
  • Claim ownership of the underlying software or system

11. Limitation of Liability

To the fullest extent permitted by law:

SolidMagnetics and Altabright Inc. shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Equipment damage or system failure
  • Personal injury or safety incidents
  • Errors or inaccuracies in generated designs

Total liability, if any, shall not exceed the amount paid for the specific service.

12. Indemnification

You agree to indemnify and hold harmless SolidMagnetics and Altabright Inc. from any claims, damages, or liabilities arising from:

  • Your use of the Service
  • Your products or systems built using generated designs
  • Violation of these Terms

13. Availability of Service

We do not guarantee:

  • Continuous uptime
  • Error-free operation
  • Immediate processing

We may:

  • Modify features
  • Add or remove functionality
  • Perform maintenance
  • Temporarily suspend access

14. Future Features

We plan to expand the platform to include:

  • Transformer design
  • Toroidal cores
  • Expanded material libraries
  • Advanced simulation features

Pricing and Terms may change as new features are introduced.

15. Termination

We may suspend or terminate your access if:

  • You violate these Terms
  • You misuse the platform
  • Your subscription lapses

You may stop using the Service at any time.

16. Governing Law

These Terms are governed by the laws of the State of Michigan, United States.

17. Changes to Terms

We may update these Terms at any time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.
